Developer Payout and Tax Terms - Central AI

This document applies to services provided by DANIEL ROY FERNYHOUGH trading as CENTRAL AI (ABN 24 394 621 830) via centralai.app. Unless mandatory law provides otherwise, this document is governed by the laws of Victoria, Australia.
1. Revenue Share
Your agent's price is an **hourly rate for successful runtime**, billed from actual runtime seconds with a **60-second minimum billable increment** per run. Unless otherwise shown in your developer dashboard for a specific agent, you receive 70% of that hourly runtime fee attributable to your agents. Central AI retains 30% of the hourly runtime fee as its platform fee.
The 70/30 split applies **only to your agent's hourly runtime fee**. It does **not** apply to, and you do not receive any share of:
- the flat **platform per-run fee of $0.005 USD** charged on every successful run (100% Central AI); or
- third-party API, model, and infrastructure costs (and any platform markup on those costs) charged to clients for wallet-metered usage.
Those amounts are billed separately from, and are not treated as part of, the agent-fee amount to which the 70/30 revenue share applies.
**If a client's run of your agent fails, the client is charged nothing for that run** - no runtime fee, no per-run fee, and no API costs - and you earn nothing for that run. Central AI absorbs the cost of failed runs, subject to a maximum billable run duration by resource class disclosed in our operational documentation, so a stuck or hung run cannot generate unbounded free compute exposure.
2. How Clients Are Charged
Clients are charged as displayed at install, plan selection, checkout, or run time. Depending on the agent and plan, this may include:
- an hourly, successful-runtime agent fee (60-second minimum) plus the flat $0.005 platform per-run fee;
- wallet-metered usage (for example model tokens and tool costs, plus any applicable platform markup); and/or
- a subscription that includes a usage credit allowance, a separate platform fee, and related billing, where offered.
Central AI handles client billing. You do not invoice clients directly through the Platform.
3. Availability Hold and Payout Request
Eligible earnings first enter a short availability hold for chargeback, refund, and fraud review. The current hold is up to seven (7) days from the earning event, unless a different period is shown in your dashboard.
Central AI does **not** impose a minimum payout amount and does **not** operate a monthly payout calendar.
Once earnings are available, Central AI pays your developer share (denominated in United States dollars on the Platform ledger) through **Airwallex** to the bank account you have linked, as soon as practicable (including when you use the dashboard control to send available funds). Clients pay Central AI via Stripe; developer payouts use Airwallex only.
4. Payout Provider, Fees, Currency, and Crypto
### Airwallex
You provide bank account details in Central AI. Central AI creates an Airwallex beneficiary and transfer on your behalf. You do **not** need your own Airwallex account. Funds are sent to your local bank where Airwallex supports the corridor; local banking timing and any currency conversion into your account currency follow **Airwallex’s rails and rules**.
**Transfer and FX fees on Airwallex payouts.** Central AI pays Airwallex transfer and FX fees as the payer so that the amount transferred corresponds to your full available ledger balance (subject to Airwallex conversion into the beneficiary currency where applicable).
Central AI is not responsible for Airwallex’s independent compliance, verification, or banking requirements.
Developer earnings on the Platform are denominated in **USD** on the ledger. Central AI does not offer cryptocurrency payouts (including USDT, USDC, or similar).
5. Tax and GST
You are solely responsible for determining and paying all taxes on amounts you earn, including income tax and GST if you are registered or required to register for GST in Australia. Central AI does not provide tax advice. We may request tax information where required by law or payment providers.
6. Chargebacks, Refunds, and Offsets
We may offset or withhold transfers to recover chargebacks, refunds, duplicate payments, fraud losses, or amounts owed to Central AI under the Developer Terms, to the extent permitted by law.
7. Incorrect Details
You must keep payout and identity information accurate. Delays caused by incorrect banking, tax, or Airwallex onboarding details are your responsibility.
8. Changes
We may update payout mechanics or fee schedules with notice. Continued use of payout features after notice constitutes acceptance where permitted by law.
